1. Agreement to These Terms

Welcome to www.myco-monitor.com (the "Site"). The Site is owned and operated by Siegfried Systems International, LLC, a North Carolina limited liability company doing business as Myco-Monitor ("M-M," "we," "us," or "our"). These Terms and Conditions (the "Terms") govern your access to and use of the Site and your purchase of products offered through the Site. By accessing or using the Site, or by placing an order, you agree to be bound by these Terms without modification. If you do not agree to these Terms, do not use the Site or purchase products from us. Please read these Terms carefully and keep a copy for your records.

2. About the Site and Our Products

Myco-Monitor provides environmental monitoring and control hardware for commercial mushroom cultivation. The Site describes our products, publishes documentation and setup guides, and sells our products directly to customers. Products sold include the Spore, a sensor device that monitors CO2, temperature, and humidity inside grow tents; the Hyphae, a relay-based controller that operates humidifiers, exhaust fans, and other cultivation equipment; the Sentinel, an external air quality monitoring device; and the Mycelium, a Raspberry Pi-based dashboard platform that ties the devices together for monitoring and control. The Site may also host a blog, product announcements, and links to our community channels.

3. Eligibility

The Site and our products are intended for use by adults. You must be at least 18 years of age to place an order. M-M does not knowingly collect, either online or offline, personal information from persons under the age of thirteen. If you are under 18, you may use the Site only with the permission of a parent or guardian, and you may not purchase products.

4. Electronic Communications

Visiting the Site or sending emails to M-M constitutes electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications that we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communications be in writing.

5. Your Account

If you create an account on the Site, you are responsible for maintaining the confidentiality of your account credentials and for restricting access to your devices, and you agree to accept responsibility for all activities that occur under your account. You may not assign or otherwise transfer your account to any other person or entity. You agree to provide accurate and current information and to keep it updated. M-M reserves the right to refuse or cancel service, terminate accounts, or remove or edit content in our sole discretion.

6. Orders, Pricing, and Payment

All orders placed through the Site are offers to purchase and are subject to acceptance by M-M. We may accept, refuse, or cancel any order in whole or in part at any time prior to shipment, including for suspected fraud, pricing or listing errors, or product unavailability. If we cancel an order after you have been charged, we will refund the amount charged for the cancelled items.

All prices are listed in U.S. dollars and are subject to change without notice. Prices do not include applicable taxes or shipping charges, which are calculated and disclosed at checkout. Despite our efforts, occasional pricing, description, or availability errors may occur on the Site; we reserve the right to correct such errors and to cancel affected orders.

Payment is due in full at the time of order. Payments are processed by Squarespace Payments and its underlying payment providers; your payment information is submitted directly to the processor and is subject to the processor's terms and privacy policy. You represent that you are authorized to use the payment method provided.

Sales tax is collected where required by law, including North Carolina sales and use tax on applicable orders.

7. Made-to-Order Fulfillment; Shipping; Risk of Loss

Our products are assembled to order. Orders typically ship within fourteen (14) days after order confirmation. Fulfillment and shipping timeframes stated on the Site or at checkout are estimates only and are not guarantees; they may be extended by component availability or order volume. We will notify you by email of any material delay in fulfilling your order. Placing an order does not entitle you to cancel it on account of fulfillment time within the estimated window.

We ship only to addresses within the United States. We do not ship internationally, and you may not purchase products through the Site for export. Shipping charges and estimated timeframes are disclosed at checkout; delivery estimates are not guarantees. Title to products and risk of loss or damage pass to you upon our delivery of the products to the carrier. You are responsible for inspecting shipments promptly upon receipt and notifying us of shipping damage within [7] days of delivery.

8. All Sales Final; No Returns

Because our products are assembled to order, all sales are final. We do not accept returns or provide refunds for buyer's remorse, ordering errors, compatibility with your particular setup, or change of mind, whether or not the product has been opened. This policy does not affect your rights under the Limited Hardware Warranty in Section 9: products that are defective in materials or workmanship will be repaired or replaced as described there, and this policy does not limit any rights you may have under applicable law that cannot be waived.

9. Limited Hardware Warranty

M-M warrants to the original purchaser that each M-M hardware product will be free from defects in materials and workmanship under normal use in accordance with the product documentation for a period of two (2) years from the date of delivery (the "Warranty Period").

If a product fails to conform to this warranty during the Warranty Period, your sole and exclusive remedy, and M-M's entire obligation, is that M-M will, at its option: (a) repair the product; (b) replace the product with the same or a functionally equivalent product; or (c) refund the purchase price paid for the product. Repaired or replacement products are warranted for the remainder of the original Warranty Period or ninety (90) days from return shipment, whichever is longer.

To make a warranty claim, contact us at support@myco-monitor.com within the Warranty Period with your order information and a description of the issue. We may require troubleshooting steps, photographs, or return of the product before providing a remedy. If we require return of the product for a valid warranty claim, we will provide the return shipping address or a prepaid shipping label when your claim is approved; M-M will pay or reimburse reasonable return shipping costs within the United States and will pay shipping for the repaired or replacement product back to you.

This warranty does not cover, and M-M has no obligation with respect to, damage or failure resulting from:

• misuse, abuse, accident, neglect, or use contrary to the product documentation;

• installation, wiring, or operation that does not comply with the product documentation or applicable electrical codes;

• connecting loads that exceed the published electrical ratings of the product, including relay and relay-group current limits;

• use of power supplies, cables, or accessories not meeting the specifications in the product documentation;

• exposure to water, condensation, chemicals, pests, or environmental conditions outside the product's specified operating range;

• modification, disassembly, or repair by anyone other than M-M or its authorized service providers, including modification of device firmware or security features;

• normal wear, cosmetic damage that does not affect function, or consumable components; or

• external causes such as power surges, lightning, fire, or flood.

TO THE EXTENT PERMITTED BY LAW, ANY IMPLIED WARRANTIES ON THE PRODUCT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE LIMITED IN DURATION TO THE DURATION OF THE WARRANTY PERIOD. SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE.

10. Intended Use; Not a Safety Device

M-M products are designed and sold solely for monitoring and controlling environmental conditions and connected cultivation equipment in mushroom growing environments. They are not designed, tested, or certified as safety devices of any kind.

M-M PRODUCTS ARE NOT FIRE, SMOKE, GAS, OR CARBON MONOXIDE ALARMS; ARE NOT LIFE-SAFETY, LIFE-SUPPORT, OR EMERGENCY-NOTIFICATION DEVICES; AND MUST NOT BE RELIED UPON TO PROTECT LIFE, HEALTH, PROPERTY, OR CROPS. SENSOR READINGS, ALERTS, AND AUTOMATED CONTROL ACTIONS MAY BE DELAYED, INACCURATE, OR UNAVAILABLE DUE TO SENSOR DRIFT, NETWORK OR POWER INTERRUPTIONS, SOFTWARE ERRORS, OR OTHER CAUSES.

You are solely responsible for: (a) installing and operating the products in accordance with the product documentation and all applicable laws, regulations, and electrical codes; (b) ensuring that all connected equipment is compatible with and operated within the products' published electrical ratings; (c) providing independent safeguards appropriate to your operation, including independent monitoring, alarms, and fail-safes for any condition that could cause injury, property damage, or crop loss; and (d) the legality of your cultivation activities in your jurisdiction. Our products are intended for the cultivation of lawful crops only.

11. Firmware and Software

M-M products contain embedded firmware, and the Mycelium platform includes software, that M-M or its licensors own. Subject to these Terms, M-M grants you a limited, non-exclusive, non-transferable, revocable license to use such firmware and software solely as embedded in or provided with the products, for their intended purpose. You may not copy, modify, distribute, sell, or lease any part of the firmware or software, or reverse engineer or attempt to extract its source code, except to the extent applicable law expressly permits or the software is provided under an open-source license whose terms control. Certain components may be provided under open-source licenses; applicable notices are available in the product documentation.

Products may receive firmware or software updates that add, change, or remove functionality or that address security issues. Some updates may install automatically. Product functionality may depend on your local network and hardware you supply (such as a Raspberry Pi for the Mycelium platform), which are your responsibility.

12. Documentation and Guidance Are Informational

Setup guides, sizing recommendations, calibration recommendations, blog posts, and other content published on the Site or in product documentation are provided for general informational purposes. Growing conditions and equipment vary; you are responsible for evaluating the suitability of any guidance for your specific operation. Such content is not engineering, electrical, legal, or agricultural advice.

13. No Unlawful or Prohibited Use; Intellectual Property

You are granted a non-exclusive, non-transferable, revocable license to access and use the Site strictly in accordance with these Terms. As a condition of your use of the Site, you warrant to M-M that you will not use the Site for any purpose that is unlawful or prohibited by these Terms. You may not use the Site in any manner that could damage, disable, overburden, or impair the Site or interfere with any other party's use and enjoyment of the Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Site.

All content included as part of the Site, such as text, graphics, logos, images, and the compilation thereof, and any software used on the Site, is the property of M-M or its suppliers and is protected by copyright and other intellectual property laws. The Myco-Monitor name and logo, and the Spore, Hyphae, Sentinel, and Mycelium product names, are trademarks of Siegfried Systems International, LLC. You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale of, create derivative works from, or in any way exploit any of the content, in whole or in part, found on the Site, and you do not acquire any ownership rights in any content or trademarks through your use of the Site or purchase of products.

14. Third-Party Sites and Services

The Site may contain links to other websites ("Linked Sites"), including community channels, payment processors, and component or accessory vendors. Linked Sites are not under the control of M-M, and M-M is not responsible for their contents or any changes or updates to them. M-M provides these links only as a convenience, and the inclusion of any link does not imply endorsement by M-M. Certain services made available via the Site are delivered by third parties; by using such services, you acknowledge and consent that M-M may share information and data with third parties with whom M-M has a contractual relationship as needed to provide the requested product, service, or functionality.

15. Privacy

Our collection and use of personal information in connection with the Site and our products is described in our Privacy Policy, available at www.myco-monitor.com/privacy-policy . The Privacy Policy is incorporated into these Terms by reference.

16. International Users

The Site is controlled, operated, and administered by M-M from our offices within the United States, and products are sold and shipped only within the United States. If you access the Site from a location outside the United States, you are responsible for compliance with all local laws, and you agree that you will not use content accessed through the Site in any country or in any manner prohibited by applicable laws, restrictions, or regulations.

17. Indemnification

You agree to indemnify, defend, and hold harmless M-M, its officers, directors, members, employees, agents, and third parties, for any losses, costs, liabilities, and expenses (including reasonable attorneys' fees) relating to or arising out of your use of or inability to use the Site or products, your violation of these Terms, your violation of any rights of a third party, your violation of any applicable laws, rules, or regulations, or your installation, wiring, or operation of products or connected equipment. M-M reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with M-M in asserting any available defenses.

18. Disclaimer of Warranties (Site and Services)

EXCEPT FOR THE EXPRESS LIMITED HARDWARE WARRANTY IN SECTION 9, THE SITE, ITS CONTENT, AND ALL SERVICES, SOFTWARE, AND INFORMATION PROVIDED THROUGH THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OR CONDITION OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, M-M AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THE SITE, ITS CONTENT, AND SUCH SERVICES, SOFTWARE, AND INFORMATION, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. M-M DOES NOT WARRANT THAT THE SITE OR ANY CONNECTED SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL M-M OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR ANY DAMAGES FOR LOSS OF USE, LOSS OF DATA, LOSS OF PROFITS, LOSS OF BUSINESS, OR LOSS OF, DAMAGE TO, OR CONTAMINATION OF CROPS, CULTURES, SUBSTRATES, OR OTHER BIOLOGICAL MATERIALS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE SITE, THE PRODUCTS, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF M-M HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF M-M AND ITS SUPPLIERS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE, THE PRODUCTS, OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO M-M FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

BECAUSE SOME STATES AND JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH STATES, M-M'S LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

20. Dispute Resolution; Binding Arbitration

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

In the event the parties are not able to resolve any dispute between them arising out of or concerning these Terms, the Site, or the products, whether in contract, tort, or otherwise at law or in equity, such dispute shall be resolved only by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association under its applicable consumer arbitration rules, or a similar arbitration service selected by the parties. Unless the parties agree otherwise, arbitration shall take place in Durham County, North Carolina, or may be conducted remotely by videoconference, and for consumer claims the arbitrator may direct that arbitration occur in a location convenient to the consumer as the applicable rules provide. The arbitrator's award shall be final, and judgment may be entered upon it in any court having jurisdiction. The entire dispute, including the scope and enforceability of this arbitration provision, shall be determined by the arbitrator. This arbitration provision shall survive the termination of these Terms.

Either party may bring an individual claim in small claims court in lieu of arbitration if the claim qualifies for that court. In addition, you may opt out of this arbitration provision by sending written notice by email to support@myco-monitor.com within thirty (30) days of your first acceptance of these Terms, stating your name, order information (if any), and your intent to opt out of arbitration. [ATTORNEY: confirm fee allocation; the prevailing-party fee clause common in commercial contracts may be unenforceable or inadvisable in consumer arbitration.]

21. Class Action Waiver

ANY ARBITRATION UNDER THESE TERMS WILL TAKE PLACE ON AN INDIVIDUAL BASIS; CLASS ARBITRATIONS AND CLASS, REPRESENTATIVE, OR COLLECTIVE ACTIONS ARE NOT PERMITTED. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH PARTY'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. FURTHER, UNLESS BOTH YOU AND M-M AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

22. Termination; Governing Law

M-M reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice. Termination of Site access does not affect the Limited Hardware Warranty for products you have already purchased.

To the maximum extent permitted by law, these Terms are governed by the laws of the State of North Carolina, without regard to its conflict of laws principles. For any dispute not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in North Carolina.

23. General Provisions

You agree that no joint venture, partnership, employment, or agency relationship exists between you and M-M as a result of these Terms or your use of the Site. M-M's performance of these Terms is subject to existing laws and legal process, and nothing contained in these Terms is in derogation of M-M's right to comply with governmental, court, and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by M-M with respect to such use.

If any part of these Terms is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of the Terms shall continue in effect. These Terms, together with the documents incorporated by reference, constitute the entire agreement between you and M-M with respect to the Site and the products and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written. A printed version of these Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish of the parties that these Terms and all related documents be written in English. M-M's failure to enforce any provision of these Terms is not a waiver of that provision.

24. Changes to These Terms

M-M reserves the right, in its sole discretion, to change the Terms under which the Site and products are offered. The most current version of the Terms posted on the Site will supersede all previous versions, and the Terms in effect at the time you place an order govern that order. M-M encourages you to periodically review the Terms to stay informed of updates.
